Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“User,” “you,” or “your”) and GExcel, a company/proprietorship registered in India (“GExcel,” “we,” “us,” or “our”), governing your access to and use of the GExcel platform, including the website at https://gexcel.vercel.app, our backend services, and any related APIs (collectively, the “Service”).
By creating an account, signing in with Google, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Description of the Service
GExcel connects to your Google Drive account to help you:
- Browse and organize product folders and media files stored in your Drive;
- Automatically set sharing permissions on selected files to “Anyone with the link can view”;
- Generate downloadable Excel (.xlsx) catalogs containing links to your product images and videos.
The Service is provided on a subscription and/or credit-pack basis as described in Section 6 and on our Pricing page.
3. Account Registration & Google Authentication
3.1 You must sign in using Google OAuth2. By doing so, you authorize us to access certain Google account information (name, email, Google ID) and your Google Drive content, strictly as necessary to provide the Service, and in accordance with our Privacy Policy and Google’s own terms.
3.2 You are responsible for maintaining the security of your Google account. We are not responsible for unauthorized access resulting from your failure to secure your own account or device.
3.3 We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent or abusive behavior.
4. Your Content and Google Drive Data
4.1 Ownership. You retain all ownership rights to files, folders, images, and videos stored in your Google Drive (“Your Content”). We do not claim any ownership over Your Content.
4.2 License to Us. You grant us a limited, non-exclusive, revocable license to access, read, and modify sharing permissions of Your Content solely to the extent necessary to operate the Service (e.g., scanning folders, generating public links, compiling Excel exports).
4.3 Permission Changes Are Irreversible by Us. When you use the “Save Catalog” feature, the Service changes the sharing setting of selected files to “Anyone with the link can view.” This action is performed at your explicit instruction and you are solely responsible for the consequences of making these files publicly accessible, including but not limited to unauthorized viewing, downloading, indexing by search engines, or redistribution by third parties. We strongly recommend you do not upload sensitive, confidential, or personal files into folders you intend to catalog.
4.4 We do not permanently store copies of Your Content (images/videos) on our servers; we store references (URLs, file names, product names) required to generate your catalogs and Excel exports. See our Privacy Policy for details.
4.5 You represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to the files you catalog and make public;
- Your Content does not infringe any third party’s intellectual property, privacy, or other rights;
- Your Content does not violate any applicable law, including obscenity, defamation, or export control laws.
5. Acceptable Use
You agree not to:
- Use the Service to catalog or distribute illegal, infringing, obscene, defamatory, or harmful content;
- Attempt to gain unauthorized access to other users’ accounts, catalogs, or Drive data;
- Reverse-engineer, decompile, scrape, or attempt to extract source code of the Service;
- Use automated means (bots, scripts) to access the Service beyond documented API use;
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
- Exceed your plan’s product/catalog limits through circumvention rather than legitimate upgrade or credit purchase;
- Use the Service in violation of Google’s API Services User Data Policy or Google Drive Terms of Service.
We reserve the right to suspend or terminate accounts violating this section without refund, subject to applicable law.
6. Subscriptions, Credits & Billing
6.1 Plans. The Service is offered under tiered subscription plans (Free, Starter, Growth, Agency) with monthly or yearly billing, as described on our Pricing page. Pricing is in Indian Rupees (INR) and may include applicable taxes (e.g., GST).
6.2 Credit Packs. One-time credit packs may be purchased to add permanent bonus product/catalog capacity on top of your plan.
6.3 Payment Processing. All payments are processed by Razorpay, a third-party payment gateway. We do not store your full payment card or banking details; these are handled directly by Razorpay in accordance with its own terms and PCI-DSS standards.
6.4 Auto-Renewal. Paid subscriptions automatically renew at the end of each billing cycle (monthly or yearly) unless cancelled before the renewal date via the “Cancel” option in your account settings.
6.5 Plan Changes. Upgrades take effect immediately. Downgrades and cancellations take effect at the end of the current billing period (“cancel at period end”); no partial-period credit is issued for unused time, except as required by law.
6.6 Failed Payments. If a renewal payment fails, your subscription status may be marked “halted,” and access to plan-level features may be restricted until payment is resolved.

7. Entitlement Limits
Your effective usage limit equals your active plan’s product/catalog limits plus any remaining bonus credits from purchased credit packs. If you exceed your effective limit, catalog creation will be blocked (HTTP 402) until you upgrade your plan or purchase additional credits.
8. Intellectual Property
8.1 The Service, including its software, design, branding (“GExcel,” “RajBhai”), and underlying technology, is owned by us or our licensors and is protected by applicable intellectual property laws.
8.2 Nothing in these Terms transfers any ownership of our intellectual property to you, except the limited right to use the Service as permitted herein.
9. Third-Party Services
The Service integrates with third-party providers, including Google (Drive API, OAuth2) and Razorpay (payments). Your use of these integrations is also subject to those providers’ own terms and privacy policies. We are not responsible for the acts, omissions, downtime, or policy changes of third-party providers.
10. Disclaimers
10.1 THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION.
10.2 We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any files, links, or exports generated will be permanently accurate, available, or free of third-party interference (including changes made directly in Google Drive outside the Service).
10.3 We are not responsible for any consequences arising from files being made publicly accessible via the “Anyone with the link” permission change described in Section 4.3.
11. Limitation of Liability
11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, OR UNAUTHORIZED ACCESS TO YOUR GOOGLE DRIVE CONTENT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.3 Nothing in these Terms limits liability that cannot be excluded or limited under applicable law (e.g., liability for fraud or gross negligence, to the extent such exclusion is prohibited).
12. Indemnification
You agree to indemnify, defend, and hold harmless GExcel, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) Your Content and your decision to make it publicly accessible; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your violation of any applicable law.
13. Termination
13.1 You may stop using the Service and delete your account at any time by contacting us at bhroser550@gmail.com.
13.2 We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, engage in fraudulent activity, or if required by law.
13.3 Upon termination, your right to use the Service ceases immediately. Sections 4.3 (permission changes already made), 6 (billing, to the extent obligations accrued), 8, 10, 11, 12, and 15 survive termination.
14. Changes to the Service or Terms
We may modify these Terms at any time. Material changes will be notified via email or in-app notice at least 7 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law & Dispute Resolution
15.1 These Terms are governed by the laws of India, without regard to conflict-of-law principles.
15.2 Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. Failing resolution within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts at [City, State], India, or resolved via arbitration under the Arbitration and Conciliation Act, 1996, seated at [City], at our election.
16. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and us.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
- No Waiver: Failure to enforce any right or provision is not a waiver of that right.
- Assignment: You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
